Valley Medals – Terms & Conditions of Sale
Orders & Acceptance
- By placing an order (verbally, digitally, or in writing), the Buyer accepts these Terms & Conditions.
- Only duly appointed sales representatives may negotiate on behalf of Valley Medals.
Goods
- Valley Medals manufactures and sells medals, badges, and decorative ribbons for sport and recreational purposes only.
- Goods supplied are limited to those described on the Buyer’s Order and/or Invoice.
- Design features including and not limited to any images, text and print reference are done according to client specifications and is not representative of Valley Medals.
Prices & Payment
- Prices are as stated on the Invoice.
- All prices are subject to correction in the event of errors or omissions.
- Full payment, including freight, duties, taxes, and handling charges, must reflect in Valley Medals’ bank account before delivery.
- The person approving the order is responsible for payment.
Delivery
- Orders ship via courier at Valley Medals’ discretion unless otherwise agreed.
- Risk passes to the Buyer upon delivery to the courier, subject to rights under the Consumer Protection Act (CPA).
- Delivery times are estimates and may vary.
Ownership
- Ownership of goods transfers to the Buyer once full payment has been received and delivery has taken place.
- Dies and molds remain the property of Valley Medals, though they are for the exclusive use of the Buyer.
Returns
- Shortages must be reported within 5 business days of receipt.
- Restockable goods may be returned within 15 business days with prior authorization, subject to a 15% restocking fee.
Intellectual Property
- The Buyer warrants that it has the right to use all logos, trademarks, and artwork submitted.
- The Buyer indemnifies Valley Medals against any claims of infringement.
Marketing Use
- Unless otherwise specified in writing at the time of order, Valley Medals may use products produced for the Buyer in advertising, marketing, and displays.
Force Majeure
- Valley Medals shall not be liable for delays or non-performance caused by events beyond its reasonable control, including natural disasters, war, pandemics, power outages, or inclement weather.
Cancellations
- Orders cancelled or changed are subject to costs incurred by Valley Medals up to the date of cancellation.
- Valley Medals reserves the right to cancel or rescind any order.
Governing Law
- These Terms & Conditions are governed by the laws of the Republic of South Africa.
- Any disputes shall be resolved in the courts of Gauteng.
